1. Acceptance of Terms

By accessing or using the TickerKey mobile application and the website at tickerkey.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and TickerKey, Inc. ("TickerKey," "we," "our," or "us"), a Delaware corporation with its principal office at 131 Continental Dr, Suite 305, Newark, DE 19713, US.


2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.


3. Beta Program

The Service is currently offered as a beta release ("Beta"). By participating in the Beta program, you acknowledge and agree that:

  • The Service may contain bugs, errors, or other issues and is provided on an "as-is" basis.
  • Features, functionality, and availability may change without prior notice.
  • Beta access may be revoked at any time, at our sole discretion.
  • You agree to provide feedback, bug reports, and suggestions when reasonably requested to help us improve the Service.
  • Any feedback you provide may be used by TickerKey without restriction or compensation.

4. User Accounts

To access certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized access or use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.


5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Attempt to gain unauthorized access to any systems or networks connected to the Service.
  • Use the Service to transmit malware, viruses, or other harmful code.
  • Scrape, data-mine, or use automated tools to extract data from the Service without prior written consent.
  • Redistribute, sublicense, or resell any part of the Service or the data provided through it.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

6. Financial Data & Disclaimer

The Service provides access to financial market data, AI-generated analysis, news, and related content for informational purposes only.

  • Nothing in the Service constitutes investment advice, financial advice, trading advice, or any other kind of professional advice.
  • Market data may be delayed, inaccurate, or incomplete. You should not rely solely on the Service for trading or investment decisions.
  • AI-generated analysis and sentiment tagging are algorithmic outputs and may contain errors. They do not reflect the opinions or recommendations of TickerKey.
  • You are solely responsible for your own investment and trading decisions.

7. Intellectual Property

The Service and all related content, features, and functionality (including but not limited to text, graphics, logos, icons, images, software, AI models, and data compilations) are the exclusive property of TickerKey, Inc. and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works from any part of the Service.


8. Confidentiality

As a Beta participant, you may have access to non-public features, roadmaps, designs, or other confidential information ("Confidential Information"). You agree to:

  • Keep all Confidential Information strictly confidential and not disclose it to any third party.
  • Not share screenshots, recordings, or descriptions of unreleased features without prior written consent from TickerKey.
  • Use Confidential Information solely for the purpose of testing and providing feedback on the Service.
  • Return or destroy all Confidential Information upon request or upon termination of your Beta access.

This confidentiality obligation survives termination of your account and these Terms. If you have signed a separate Non-Disclosure Agreement ("NDA") with TickerKey, the terms of that NDA apply in addition to this section and prevail in the event of any conflict.


9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may also terminate your account at any time through your account settings or by contacting us.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including Confidentiality, Intellectual Property, Limitation of Liability, and Indemnification.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKERKEY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


11. Indemnification

You agree to indemnify, defend, and hold harmless TickerKey, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.


12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New Castle County, Delaware.


13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where required, notify you via email or in-app notice. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
